Scope of Application
The terms and conditions apply for all services performed within the framework of ongoing business relationships and also to any services that are performed in the future, even if these conditions have not been expressly agreed on again. The World of Soap general terms and conditions apply for all kinds of contractual relationship.
Defence clause
Unless otherwise agreed in writing, only World of Soap Terms and Conditions shall apply. Other regulations, in particular the client’s own terms and conditions will not form a part of the contract, even if World of Soap has not expressly stated its objection to this.
Conclusion of the contract
Offers made by World of Soap are subject to confirmation. A contract shall only exist when World of Soap Sdn Bhd has issued a written order confirmation. The scope of services performed by World of Soap Sdn Bhd will be determined by the written order confirmation and annexes. Ancillary agreements and alterations require written confirmation from World of Soap Sdn Bhd. The customer is bound for orders he has placed with World of Soap Sdn Bhd for a period of 4 weeks. Verbal orders always are presumed being based on World of Soap Sdn Bhd’s written offer content.
Miscellaneous
If individual conditions of the World of Soap Sdn Bhd terms and conditions of business become ineffective, this will not affect the remaining conditions. Verbal collateral agreements are not valid. The laws of Malaysia shall apply.
Delivery
All delivery periods or other deadlines given are only approximate. World of Soap Sdn Bhd is not obliged to effect delivery until the customer has paid the required deposit. The delivery obligations are subject to correct and on-time supply to World of Soap Sdn Bhd itself. World of Soap Sdn Bhd shall be excused from performance of its obligations to the extent that and for any period during which such performance is hindered or prevented (directly or indirectly) by reason of any strike, lock out, labor disturbance, government action, riot, armed conflict, terrorism, accident, extremes of weather or event of nature, unavailability of raw materials or of normal means of transport, act of God or any other matter whatsoever beyond the reasonable control of World of Soap Sdn Bhd, and/or its’ suppliers. World of Soap Sdn Bhd will not accept any claim for damage caused by delay.
Transfer of risk
The risk is transferred to the customer at the time when the goods are transferred to the shipper or freight carrier or the purchaser himself, even if delivery is not carried out by World of Soap Sdn Bhd. Types of shipping and packaging may be determined by World of Soap Sdn Bhd. Shipping costs and packaging costs are borne by the customer.
Returns
World of Soap Sdn Bhd does practise a non-return policy.
Receipt
The delivery should be accepted by the customer, even if there are minor defects. Upon receipt of the purchase equipment the customer should immediately inspect the goods and inform World of Soap Sdn Bhd in writing of any defects (if possible on a Delivery Order). Partial deliveries are permissible. If World of Soap Sdn Bhd is unable to perform any obligation by reason of delay and/or any other matter caused by the customer, World of Soap Sdn Bhd would in any event be deemed to have performed the obligation upon World of Soap Sdn Bhd giving notice that it is ready to perform the said obligation.
Prices
The number of items determined upon delivery shall be included in the invoice. In the case of an increase in material and raw material prices, salaries and wages or manufacturing costs between the conclusion of the contract and delivery, World of Soap Sdn Bhd is entitled to raise the prices in accordance with this increase unless explicitly excluded in the contract / order confirmation. Taxes must be added to all prices, if applicable.
Payment Conditions
All invoices are payable before delivery at receipt of the invoice. For payment by cheque: the payment obligation of the customer is considered fulfilled only when the cheque has been cleared by the bank.
Retention of Title
All items remain the property of World of Soap Sdn Bhd up to the payment in full. The allocation of individual receivables to an ongoing invoice or adding to an account and the recognition of these does not remove the retention of title.
Guarantee
The sale of goods is covered by Malaysian law. No further guarantees of any kind are given.
Liability
World of Soap Sdn Bhd is not liable to any damage to life, body, health and fraudulent concealment of defects. Any other liability, irrespective of the legal grounds, in particular for compensation for damages is excluded.
Time Limitation
Unless otherwise agreed, the time limit for claims by the customer that arise against World of Soap Sdn Bhd on the occasion of and in connection with the delivery of the goods is 7 days after the delivery, irrespective of the legal grounds.
